Swan.my.id - The WIFI ownership shift began with Sinergi Graha Kapital’s purchase of 1.41 billion shares in Solusi Sinergi, the company known by its ticker WIFI. The transaction took place on Monday, October 19, 2026, at Rp2,870 per share. It gives Sinergi Kapital a 26.667% stake in the company.

The purchase cost approximately Rp4.06 trillion and came from Investasi Sukses Bersama, WIFI’s controlling shareholder before the deal. The sale reduced that investor’s holding to about 1.47 billion shares, or 27.756%. As a result, two substantial shareholders now hold similarly sized stakes.

WIFI ownership shift follows a premium-priced purchase

The agreed price stood well above WIFI’s closing price on the same day. Shares ended trading at Rp1,025, down Rp75, or 6.82%, from the previous session. The Rp2,870 transaction price was Rp1,845 higher, representing a premium of roughly 180% to that close.

That comparison highlights the difference between the price agreed for this block of shares and the stock’s quoted market price. The figures do not mean that investors could buy shares on the exchange at Rp2,870. Nor do they indicate that the market price rose to match the deal value. They describe separate prices associated with the transaction and the day’s trading close.

The premium also explains the size of the consideration. Multiplying 1.41 billion shares by Rp2,870 produces a value close to Rp4.06 trillion, consistent with the reported amount. The transaction therefore represents a large transfer of ownership, rather than a small market purchase spread across ordinary trading.

Two shareholders now hold stakes near 27%

Before selling, Investasi Sukses Bersama held approximately 54.42% of WIFI. Its disposal of a stake equal to 26.664% reduced its position to 27.756%, or around 1.47 billion shares. The change cut the seller’s ownership by roughly half, while leaving it with a substantial shareholding.

Sinergi Kapital acquired 26.667% through the purchase. The reported percentages differ slightly because the buyer’s and seller’s stakes are presented as 26.667% and 26.664%, respectively. Both figures describe almost the same portion of WIFI, and the buyer’s resulting holding sits just below the seller’s remaining percentage.

This new balance is important because ownership figures show who holds shares, but do not by themselves explain every aspect of corporate governance. The deal changes the relative positions of two major shareholders. However, the figures alone do not establish what arrangements, if any, will govern board representation or decision-making after the transaction.

Investasi Sukses Bersama was identified as WIFI’s controller before the sale. Its remaining 27.756% stake is still substantial, while Sinergi Kapital’s newly acquired 26.667% gives it a major position for the first time. The transaction’s ownership arithmetic is clear; any wider governance consequences require separate information.

Long-term investment purpose stated

The purchase was described as an investment for the long term. That stated purpose gives context to Sinergi Kapital’s entry, but it does not specify how long the investor plans to hold the shares or whether it intends to change its position later. No additional investment timetable appears in the transaction details.

Likewise, the stake transfer does not, on its own, provide information about WIFI’s business plans, operating performance, or financial outlook. It concerns the distribution of existing shares between shareholders. Investors assessing the company’s prospects would need to distinguish this ownership development from separate information about its business.

The transaction also illustrates why a large share transfer should be read through several figures together. The number of shares identifies the scale of the purchase, the percentage shows its place in the company’s ownership structure, and the per-share price helps establish the consideration. Looking at only the market close would miss the agreed price for this transfer.

What the disclosed figures establish

Three points are central to understanding the deal: Sinergi Kapital purchased 1.41 billion WIFI shares, the agreed price was Rp2,870 each, and the buyer paid about Rp4.06 trillion. Those shares represent 26.667% of the company. The seller’s holding fell from approximately 54.42% to 27.756% after disposing of a nearly equal stake.

The deal therefore redraws WIFI’s shareholder balance without making the two principal positions identical. Sinergi Kapital enters with a 26.667% interest, while Investasi Sukses Bersama retains a slightly larger 27.756% holding. The buyer’s stated long-term investment purpose adds context, but the published ownership figures remain the clearest measure of the immediate change.

For market watchers, the sharp gap between the transaction price and the closing price is another notable feature. It should be interpreted as a comparison between the block purchase and that day’s market quotation, not as a new trading benchmark. Future share prices and any further changes in ownership remain separate developments.
